These terms are an agreement between you and Mountain Labs Ltd ("Mountain Labs", "we"), a company registered in England and Wales, company number 16890919, at 128 City Road, London, EC1V 2NX. They cover your use of the Mountain Labs content management system, its console and its API (the "service").
By creating an account or using the service, you agree to these terms. If you use it for an organisation, you confirm you can agree to them on its behalf, and "you" means that organisation.
Anyone over 18 can use the service, for personal projects or for work. A few terms differ depending on which you are:
- You are a consumer if you use the service mainly for purposes outside your trade, business or profession.
- You are a business if you use it for your work, including as a sole trader or freelancer, or for an organisation.
Where a term applies to only one of these, it says so. If you are a consumer, nothing in these terms affects your legal rights, for example under the Consumer Rights Act 2015. For information about those rights, contact Citizens Advice.
- Keep your sign-in details and API credentials secret. You are responsible for what happens under your account, including what your team members and the applications you register do.
- Tell us straight away at privacy@mountain-labs.io if you think your account has been compromised.
- Give us accurate details, and keep them up to date.
- Every plan starts with a 14-day free trial. Unless you cancel before it ends, your paid subscription begins, and is charged in advance, monthly or yearly, until you cancel.
- We email you before your trial ends, telling you when you will be charged and how much. On yearly plans, we also email you before each renewal.
- Payments are taken by our payment provider, Stripe. Prices are shown before you subscribe, including any VAT we have to charge.
- We may change prices with at least 30 days' notice by email. A new price applies from your next billing period, and you can cancel before then.
- If a payment fails, we will let you know. If it is still unpaid after 14 days, we may suspend your account until it is paid.
You can cancel at any time, online from the console. Your plan stays active until the end of the period you have paid for, and is not renewed. We do not refund partial periods, except as below.
If you are a consumer, you can also cancel within 14 days of your first payment, or of a yearly renewal, and we will refund that payment in full. We refund within 14 days, to the card you paid with.
- You own your content. Everything you store in Mountain Labs remains yours. You give us permission to host, copy, process and display it only as needed to provide the service to you and the people you choose to share it with.
- You are responsible for it. You confirm you have the right to store and publish it, and that it complies with the law and section 6.
- Personal data in your content. For personal data in your content, you are the controller and we are your processor. We process it only to provide the service and as our Privacy Policy describes. Email us if you need a data processing agreement.
- No lock-in. You can read and export your content through the API at any time, including after you cancel and until it is deleted (section 8).
You must not use the service to:
- store or publish anything illegal, or that infringes anyone else's rights;
- distribute malware, phishing or spam;
- try to break, overload or get round the security or limits of the service, or access other customers' data;
- resell the service as a standalone product without our written agreement.
We may remove content or suspend accounts that break these rules. Where it is reasonable to, we will tell you first and give you a chance to fix the problem.
- We work to keep the service available and secure, but we do not guarantee it will be uninterrupted or error-free. We may carry out maintenance, and will try to give notice of planned downtime.
- We improve the service over time and may change or remove features. If a change takes away a significant part of what you pay for, you can cancel and we will refund any unused prepaid fees.
- Features marked "coming soon" or "beta" are not part of your plan until they are released.
- You can close your account at any time.
- We may suspend or close your account if you seriously or repeatedly break these terms, or if the law requires it. Unless that is not reasonable, we will give you notice first.
- When an account is closed, we keep its content for 30 days so you can export it, and then delete it. We keep billing records as the law requires.
The service, its software and our branding belong to Mountain Labs. These terms give you the right to use the service while your account is active, and nothing more.
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law. Whoever you are, keep your own copies of content that matters to you.
If you are a consumer:
- We will provide the service with reasonable care and skill, as described to you. If we don't, tell us, and we will put it right. If we can't do that within a reasonable time, you are entitled to a refund or a price reduction.
- We are responsible for loss or damage you suffer that is a foreseeable result of us breaking these terms or failing to use reasonable care. We are not responsible for business losses, as the service is provided to you for personal use.
If you are a business:
- We are not liable for loss of profits, revenue, business, goodwill or data, or for any indirect or consequential loss.
- Our total liability to you for all claims in any 12-month period is limited to the fees you paid us in the 12 months before the claim arose.
- Except as set out in these terms, the service is provided "as is", and we exclude all other warranties to the extent the law allows.
If you are a business and someone brings a claim against us because of your content or your breach of section 6, you will cover our reasonable costs of dealing with it.
We may update these terms. For significant changes, we will email you at least 30 days before they take effect. If you keep using the service after that, the new terms apply; if you don't agree, you can cancel before then.
- These terms, with our Privacy Policy, are the whole agreement between us about the service.
- If any part of these terms is found to be unenforceable, the rest still applies.
- If we don't enforce a right straight away, we can still enforce it later.
- Neither of us is responsible for delays caused by events outside our reasonable control.
- These terms are governed by the law of England and Wales. If you are a business, the courts of England and Wales have exclusive jurisdiction. If you are a consumer, you can bring a claim in the courts of England and Wales, or, if you live in Scotland or Northern Ireland, in the courts there.
